1. Use of Link:
You may only create a hypertext link using the name "Cartoon Network"; use of the Cartoon Network logos or characters is not permitted. This link may be used solely to provide Your viewers with quick access to Cartoon Network's site by actually transferring the viewer out of Your Site to Cartoon Network's site's URL www.cartoonnetwork.co.uk. Without limiting the generality of the foregoing, the link may not be used in any manner to provide viewers access to Cartoon Network's site via any caching, framing, layering or other techniques that cause intermediate copying of Your Site (or elements thereof) or display of Your Site or portions thereof in any manner unintended by Cartoon Network, including without limitation, display of Your Site with any materials posted by You (or Your URL) or any party other than Cartoon Network.

2. No Affiliation/Sponsorship:
You represent, warrant and agree that You shall not in any way suggest or imply through use of the hypertext link that Your Site or any of Your products or services are affiliated with, endorsed or sponsored by or created in association with Cartoon Network. You agree to place a disclaimer to such effect if requested by Cartoon Network. You also agree not to use any other trademark or service mark in combination with the Cartoon Network hypertext link without the prior written approval of Cartoon Network. Nothing contained herein shall create or suggest any affiliation, association, partnership, agency or joint venture between the Cartoon Network and You ("parties" and "party"). Neither party hereto shall represent itself as the associate, partner, agent or joint venturer of the other in any way whatsoever. It is expressly understood and agreed that neither party shall have any authority whatsoever to make any representations or commitments to any third party on behalf of the other party.

3. Samples:
From time to time, Cartoon Network reserves the right to request timely representative samples for purposes of verification of usage of the hypertext link in accordance with the terms stated herein.

4. Costs:
You have paid and/or shall pay any and all costs which You have incurred or shall incur as a result of Your usage or downloading of the hypertext link, and shall not hold Cartoon Network responsible for any portion thereof. You shall indemnify, defend and hold Cartoon Network and its subsidiaries, affiliates, predecessors, successors and assigns and their respective agents, officers, directors and employees harmless from and against any and all losses, costs, claims, damages (including court costs and attorney's fees and allocable fees of in-house counsel), liability, demands or expenses, which may arise out of or derive in any way from Your use of the Cartoon Network name and/or breach of this Agreement.

5. Ownership:
You acknowledge that Cartoon Network owns all rights, title and interest in and to the Cartoon Network name and associated URLs. You agree that You will do nothing inconsistent with such ownership and that all uses of same shall inure to the benefit of and be on behalf of Cartoon Network. You agree that nothing in this Agreement shall give You any right, title or interest in the Cartoon Network name or associated URLs other than the right to use the hypertext link in accordance with the terms herein. Without limiting the foregoing, You represent and warrant that Your use of the hypertext link will not adversely affect Cartoon Network's ownership of same. Cartoon Network hereby reserves all rights in and to the Cartoon Network name and associated URLs not specifically granted herein. Cartoon Network shall at all times, anywhere in the world, and whether or not in competition with You, have the right to use and/or authorise the use of the Cartoon Network name and logos in any way Cartoon Network may desire.

6. Termination:
Cartoon Network reserves the right to terminate your right to use the hypertext link at any time upon twenty-four (24) hours notice to You. Upon termination, You will immediately discontinue all use of the hypertext link and all rights in the Cartoon Network name and associated URLs and the goodwill connected therewith shall remain the property of Cartoon Network.

7. This agreement shall be governed by the laws of England and Wales and the parties irrevocably submit to the non-exclusive jurisdiction of the courts of England and Wales: Your use of the hypertext link is expressly conditioned on Your agreement, evidenced by clicking on the "I Agree" button below, and continued acceptance of and continued compliance with the terms stated herein.
